OFFICIAL RULES AND REGULATIONS FOR THE FEDEX FIRST AND GOAL® CHALLENGE

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

  1. PROMOTION DESCRIPTION: The FEDEX FIRST AND GOAL® CHALLENGE (“Promotion”) is an online game through which eligible registrants may win prizes in three different ways as described in this Rules.

  2. REGISTRATION:Beginning September 14, 2007 through February 3, 2008 (“Promotion Period”), and other than as provided in these rules, eligible consumers (refer to Paragraph 8 for eligibility requirements) may register for the Promotion by going to fedex.com/football/ and completing the online registration (“Registrants”). Registrants must have Internet access to register and participate, and allow Sponsor to communicate with them via e-mail. Registrants must create a username and password and include their complete name, and e-mail address in order to be entered in the Sweepstakes and participate in the Promotion. Limit one registration per person. Registration ends at 11:59:59 p.m. EST February 3, 2008.  Normal Internet access and usage charges imposed by a Registrant’s online service provider will apply and are the Registrant’s responsibility. No purchase is necessary to enter or participate in the Promotion.

  3. HOW TO PLAY THE GAME:

    1. Following registration, eligible Registrants may collect FedEx First and Goal Codes (“Codes”). The Codes appear as 4 digit alphanumeric codes inside a FedEx Football icon located at select locations on fedex.com, in various FedEx e-mail and direct mail communications, at FedEx events, and at FedEx retail locations during the Promotion Period, as selected by Sponsor. Codes may also be made available by Sponsor in other media channels and at other locations and times during the Promotion Period.
    2. Registrants may enter at fedex.com/football a maximum of twenty-five (25) “valid” (i) FedEx tracking numbers, (ii) FedEx Kinko’s receipt transaction numbers, or (iii) Codes, or any combination thereof, each week of the Promotion Period. Promotion Period weeks start on Tuesday of each week during the Promotion Period at 2:00 a.m. est. and extend until the following Tuesday 1:59 a.m. est., except for the first week of the Promotion Period which starts on September 18, 2007 (hereinafter each week a “Game Week”). “Valid” tracking and transaction numbers are only numbers for those shipments or purchases made during the Promotion Period. Registrants may not enter the same Code or tracking or transaction number more than once. Duplicate entries will not be recognized.
    3. After entering a Code or number as described above, Registrants must follow the instructions on the Promotion play page. Pressing the green PLAY button will start the game. Registrants must then press the red STOP button. Pressing the red STOP button may result in the Registrant receiving an instant win prize (“Instant Win Prize”). If a Registrant wins an Instant Win Prize, a winning message is revealed. The Registrant receiving the message must confirm his/her mailing address to actually receive the Instant Win Prize specified. Winning is subject to verification of eligibility. Winning Registrants should print a copy of the online Instant Win Prize message for their records. Winners will also be notified on screen regarding when they should receive the Instant Win Prize. A Registrant can only receive a maximum of four (4) Instant Win Prizes during the Promotion Period.
    4. If a Registrant does not win an Instant Win Prize as described above after pressing the red STOP button, or the Registrant has already won four (4) Instant Win Prizes, the Registrant will receive a game piece (“Game Piece”). The Promotion includes one hundred twenty-eight (128) Game Pieces, each one of which will display one of the 32 NFL teams and one of four team units as selected by Sponsor: Air (passing game), Ground (rushing game), Defense, and Special Team team units (“Game Pieces”). The probability of receiving a particular Game Piece is based on the combined odds of an NFL team and a team unit appearing on a single Game Piece and based on the number and types of Game Pieces issued for the Promotion. The odds are as follows: a 1 in 32 chance of a specific NFL team appearing on a single Game Piece; a 35% chance for the Air team unit to appear on a single Game Piece; a 30% chance for the Ground team unit to appear on a single Game Piece; a 20% chance for the Defense team unit to appear on a single Game Piece; and, a 15% chance for the a Special Teams team unit to appear on a single Game Piece. The Promotion website will automatically add the new, unique Game Piece(s) to a Registrant’s game roster as they are acquired by the Registrant by playing the game. The Promotion website will not add to the Registrant’s roster Game Pieces identical to Game Pieces already appearing on the Registrant’s roster as duplicate Game Pieces cannot be used to win prizes. Registrants may review their rosters by visiting fedex.com/football. Registrants’ chances of winning a prize are increased with a greater number of unique Game Pieces on their roster. There are a maximum of 128 unique Game Pieces which may be obtained; provided, however, Registrants are not guaranteed to receive new, unique Game Pieces each time they play with a new tracking or transaction number or Code and are not guaranteed to receive all 128 Game Pieces.
    5. Each Game Week, each Game Piece on a Registrant’s roster is assigned a point value which reflects the level of performance of the particular NFL team and team unit (Air, Ground, Defense, or Special Teams) depicted on such Game Piece(s) in the NFL game played, if any, by such NFL team during that Game Week. The point values assigned to such Game Pieces are calculated using NFL statistics from Stats Inc., in the following manner: Air points are calculated based on total quarterback passing yards - 1 yard gained = 1 point; Ground points are calculated based on total rushing game yards - 1 yard gained = 1 point; Defense points are calculated as a total of defensive points based on: (i) each tackle by the defense in a game = 1 point, (ii) each sack, interception, or fumble recovery by the defense = 10 points, and (iii) each defensive touchdown or safety = 20 points; Special teams points are calculated based on a total of kickoff return yards, punt return yards and field goal yards - 1 yard = 1 point. Each week, points for each of the 128 pieces will be calculated by Sponsor, whose decisions are final, and assigned automatically to the applicable Game Pieces on all Registrants’ rosters. The value of Game Pieces received in previous weeks does not change during the regular season. Points are only assigned to Game Pieces appearing on the Registrants’ rosters. Registrants do not receive any points for Game Pieces not on the Registrants’ rosters or for Game Pieces returned to Registrants when playing the game which are duplicates of Game Pieces already on the Registrants’ rosters.
    6. i. Regular Season Each Game Week Game Piece points will be totaled for each team unit (Air, Ground, Defense and Special Teams) based on that week’s performance, if any, of the Team and team unit depicted on the Game Pieces on a Registrant’s roster to determine one (1) weekly winner during each regular season Game Week in each of the 4 team unit categories. In addition, during each Game Week of the regular season, one (1) additional winner will be named which will be the Registrant with the most cumulative points across all team units for that Game Week. Weekly winners are determined solely by the points assigned to the Game Pieces on the Registrant’s roster that Game Week based on the performance of the applicable Team and team units during that Game Week, if any. The top ranked Registrant each regular season Game Week for each team unit will receive a $100 NFLShop.com gift certificate and the cumulative overall points leader across all team units each regular season Game Week will receive a $150 NFLShop.com gift certificate, all subject to verification of eligibility. There is no limit to the number of times a Registrant may win a weekly prize during the Promotion Period.

      ii. Playoffs: At the end of the NFL regular season (December 31, 2007), all points will be zeroed out but Registrants will retain the Game Pieces already on their rosters. During the playoffs, which start on January 1, 2008, Codes will continue to be made available as in the regular season for the remainder of the Promotion Period and Registrants may continue to play the Promotion in the same way as during the regular season as described in these Rules in an attempt to gain more Game Pieces. Playoff Game Week points will be calculated and assigned in the same manner as during the regular season, and playoff Game Week weekly winners will be awarded the same level of prizes, as during the regular season with 1 winner for each team unit (Air, Ground, Special Team, Defense), each playoff Game Week and one (1) winner across all four (4) team units each playoff Game Week based on cumulative points acquired during that playoff week. If the NFL teams which are in the playoffs do not appear on Game Pieces on a Registrant’s roster, the Registrant will receive no points. A Registrant may only play the game twenty-five (25) times per Game Week (2:00 a.m. est Tuesday to 1:59 a.m. est the following Tuesday) during the regular season and during the playoff Game weeks.

      iii. Tie Breakers: For those cases where 2 or more players, both in the regular NFL season and during the playoffs, have the same high score to be awarded a weekly prize the following tie breaking rules will apply. First (1st) tie breaker - higher Air score; second (2nd) tie breaker - higher Ground score; third (3rd) tie breaker - higher Defense score; fourth (4th) tie breaker - higher Special Teams score; fifth (5th) tie breaker - by random draw.
    7. Sweepstakes entries and Random Drawings: In addition to the points being used to determine weekly and season long winners as described above, the points also constitute entries for five (5) monthly drawings. The points are converted to entries based on a 1:1 ratio; 1 point obtained from a Game Piece equals 1 entry into that month’s drawing and all subsequent drawings, if any, provided that the Registrant has not won a previous month's drawing during the Promotion Period. Five (5) monthly drawings will be conducted throughout the Promotion Period to award five (5) Grand Prizes. Monthly periods end the last day of each month for the first four months, with the first month ending on September 30, 2007, and the final monthly period of January ending on February 3, 2008. Entries will be carried forward to subsequent monthly drawings for Registrants who have not won a previous drawing, if any. One Sweepstakes Grand Prize winner per drawing will be selected in a random drawing on or about the following dates: October 8, 2007; November 7, 2007; December 7, 2007; January 8, 2008 and February 12, 2008, from among all eligible Sweepstakes drawing entries for that drawing. The drawings will be conducted by Don Jagoda Associates Inc., an independent judging organization whose decisions are final on all matters relating to these drawings. Odds of winning a Sweepstakes Grand Prize will depend upon the total number of eligible Sweepstakes entries assigned to the Game Pieces on a Registrant’s roster by the deadline date for each month. Sweepstakes prizes will be awarded. The winners will be notified by phone and FedEx service.
  4. ALTERNATIVE MEANS OF ACQUIRING GAME PIECES AND ADDITIONAL SWEEPSTAKES ENTRIES WITH NO PURCHASE OR SHIPMENT NECESSARY: Valid tracking or transaction numbers may be obtained via mail without shipping a package or making a FedEx Kinko’s purchase to acquire Game Pieces by persons who have registered online pursuant to these Rules. To receive a valid tracking number or transaction number without shipping a FedEx package or making a FedEx Kinko’s purchase to acquire a Game Piece, Registrants must send a self-addressed stamped envelope including name, complete address, ZIP code and telephone number, to be received by January 20, 2008, to: FedEx First and Goal IWG Request, P.O. Box 7996, Melville, NY 11775-7996. You will be sent via mail a representative FedEx shipping tracking number or a FedEx Kinko’s transaction number which you may use to play at fedex.com/football as described above. Requests postmarked between January 21, 2008 and February 4, 2008, and received by February 11, 2008 (“Late Play Dates”) will be played on the Registrant’s behalf by the Administrator. Only winning game play requests will be notified. Game play requests during Late Play Dates will not be returned or acknowledged unless the Registrant is a winner. Registrants who play via the methods described in this Paragraph 4, may visit fedex.com/football to review their rosters. Points will be assigned and sweepstakes entries will be awarded in the same manner and amounts as if the Registrant had played online as described above. Registrants may submit requests as often as they wish, but there is a limit of one request per self-addressed stamped envelope.
  5. PRIZING
    1. INSTANT WIN PRIZES: The following number and types of Instant Win Prizes are available to be won: 40 Madden 2008 Football Games, (ERV: $45 each) odds 1:11,000; 30 NFL Films Football Videos, (ERV: $35 each) odds 1:14,666; 100 ESPN Football Fact Book (ERV: $25 each) odds 1:4,400; Unclaimed Instant Win Prizes will not be awarded. A Registrant can only win up to four Instant Win Prizes. Odds of winning an Instant Win Game prize are 1:440,000.
    2. WEEKLY PRIZES: The following number and types of prizes are available to be won in respect to the weekly points assignment: Weekly team unit winners (4 per week - 1 per team unit, 84 Total Prizes): A $100 NFLShop.com Gift Certificate (ERV: $100 each). Weekly Points Leader (1 per week – 21 Total Prizes): A $150 NFLShop.com gift certificate (ERV: $150 each). Odds of winning a weekly prize are dependent on the performance of the NFL team and team units depicted on a participating Registrant’s roster.
    3. THE SWEEPSTAKES MONTHLY DRAWING PRIZES AND ERV'S: Grand Prize Month 1 (1): A 4-day, 3-night trip for two to Honolulu, Hawaii, for the 2008 NFL Pro Bowl on February 10, 2008. Trip includes round-trip coach air transportation from the major airport nearest to the winner’s residence, standard double-occupancy hotel accommodations, two tickets to Sponsor selected VIP parties, two tickets to the 2008 NFL Pro Bowl, motor coach transfers to and from the Airport in Honolulu, and a FedEx Gift Bag (ERV: $3,500). Grand Prize Month 2 (1): A 4-day, 3-night trip for two to Honolulu, Hawaii, for the 2008 NFL Pro Bowl on February 10, 2008. Trip includes round-trip coach air transportation from the major airport nearest to the winner’s residence, standard double-occupancy hotel accommodations, two tickets to Sponsor selected VIP parties, two tickets to the 2008 NFL Pro Bowl, motor coach transfers to and from the Airport in Honolulu, and a FedEx Gift Bag (ERV: $3,500).  Grand Prize Month 3 (1): A 4-day, 3-night trip for two to Honolulu, Hawaii, for the 2008 NFL Pro Bowl on February 10, 2008. Trip includes round-trip coach air transportation from the major airport nearest to the winner’s residence, standard double-occupancy hotel accommodations, two tickets to Sponsor selected VIP parties, two tickets to the 2008 NFL Pro Bowl, motor coach transfers to and from the Airport in Honolulu, and a FedEx Gift Bag (ERV: $3,500).  Grand Prize Month 4 (1): A 4-day, 3-night trip for two to Glendale, Arizona, for the 2008 Super Bowl XLII on February 3, 2008. Trip includes round-trip coach air transportation from the major airport nearest to the winner’s residence, standard double-occupancy hotel accommodations, two tickets to Sponsor selected VIP parties, two tickets to the 2008 SuperBowl XLII, motor coach transfers to and from the Airport in Phoenix, and a FedEx Gift Bag (ERV: $4,500).  Grand Prize Month 5 (1): A 3-day, 2-night trip for two to New York City, NY, for the 2008 NFL Draft on April 26-27, 2008. Trip includes round-trip coach air transportation from the major airport nearest to the winner’s residence, standard double-occupancy hotel accommodations, two tickets to the 2008 NFL Draft, motor coach transfers to and from the Airport in New York City, a $600 Visa Gift Card, and a FedEx Gift Bag (ERV: $3,000).
  6. GENERAL RULES: Sponsor reserves the right to substitute a prize of equal or greater value if advertised prizes are unavailable or if the Promotion is cancelled or postponed for any reason. Registrant transfer of prizes not permitted. Sponsor and its agencies, and each of their respective parent and affiliate companies and each of their respective officers, directors, employees and agents assume no responsibility or liability for damages, losses or injury resulting from any Registrant’s participation in the Promotion and/or acceptance or use of any prizes awarded under the Promotion. Registrants hereby release and will hold harmless all such entities, the NFL Entities (as defined below), and persons from any and all claims in any way related to Registrants’ participation in the Promotion and/or any prizes awarded under the Promotion.  Taxes, if any, related to the prizes are the responsibility of the winners. Potential winners may be required to verify address and/or execute and return an affidavit of eligibility and liability/publicity release (where legal) within seven (7) days of attempted notification or the prize/award may be forfeited, and in the case of the Sweepstakes, an alternate winner may be selected. Return of prizes or prize notification as undeliverable will result in disqualification and in the event of Sweepstakes Grand Prizes, an alternate selection will be made. Sweepstakes Grand Prize winners and travel companions must travel together and must have valid travel documents (e.g., valid photo ID, etc.) prior to departure. Sweepstakes Grand Prize winners’ travel companions (or their parent/legal guardians) must execute a Release of Liability prior to departure. Airline carrier’s regulations and conditions apply. Trips must be taken on dates specified by Sponsor; dates of departure and return are subject to change. Certain restrictions may apply. In the event a Registrant’s company policy prohibits the awarding of any prize to an employee, the prize will be awarded in the name of the company. Sponsor, the NFL Entities (as defined below) and its agencies are not responsible for lost, late, misdirected entries; or for technical, hardware or software malfunctions; telephone failures of any kind; faulty or mis-transcribed telephone communication; lost or unavailable network connections; or failed, incorrect, inaccurate, incomplete, garbled or delayed email, electronic or other communications, whether caused by the sender or by any of the equipment or programming associated with or utilized in this Promotion that may limit or affect in any way the ability to participate, or whether caused by any human error that may occur in the processing of the entries/game plays in this Promotion. Acceptance of prize constitutes permission to use winner’s name and likeness for promotional purposes without further compensation to or permission from the winner except where prohibited by law.  By participating in the Promotion, each Registrant and entrant agrees to be bound by these Official Rules and Regulations and the decisions of the judges. Sponsor reserves its right to modify or cancel the Promotion in the event of any technical difficulties and in the event of cancellation, Sponsor reserves the right to award the Sweepstakes Grand Prizes and all prizes from eligible entries received prior to cancellation.
  7. VERIFICATION: All winners are subject to verification of eligibility and potential winning Instant Win messages are subject to verification by the Administrator.  Evidence of play and/or winning will not be deemed to be proof of winning by the Administrator. All material submitted becomes the sole property of the Sponsor and will not be returned. If, due to an error of any kind, more Registrants are notified that they are winners than are intended to be awarded, the intended prizes will be awarded in a random drawing from among all verified prize claims submitted. In no event will the Sponsor be obligated to award more than the stated number of prizes. Use of automated entry devices or programs is prohibited. The Sponsor and its agencies, and each of their respective parent and affiliate companies and each of their respective officers, directors, employees and agents assume no responsibility for any injury or damage to any Registrant’s or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Promotion or otherwise in connection with the Promotion.  Registrants hereby release and will hold harmless all such entities and persons from any and all claims in any way related to Registrants’ participation in the Promotion and/or any prizes awarded under the Program.
  8. ELIGIBILITY:The Promotion is open only to: (i) residents of the United States; (ii) who are 18 years of age or older as of September 14, 2007 and who otherwise meet and abide by the criteria in these Rules. Employees of Sponsor, the NFL Entities (as defined below), Don Jagoda Associates Inc., Digital Cement, Inc., and The Marketing Store Inc. and each of their parent corporations, affiliates, subsidiaries, related companies, suppliers, agents and retailers, advertising and promotion agencies, and each of their officers, directors, employees and agents and the immediate family members and/or those living in the same household of each are not eligible for the Promotion. This Promotion is void wherever prohibited, and subject to all federal, state and local laws.
  9. WINNERS’ NAMES: For the names of the winners or prizes valued at $25 or more, send a stamped, self-addressed envelope by January 31, 2008, to: FedEx First and Goal Winners, P.O. Box 7997, Melville, NY 11775-7997.
  10. SPONSOR/ADMINISTRATOR: The Sponsor of the Promotion is solely FedEx Corporate Services Inc., Memphis, TN. The administrator (“Administrator”) of the Promotion is Don Jagoda Associates Inc., 100 Marcus Dr., Melville, NY 11747.

The National Football League, its member professional football clubs, NFL Ventures, Inc., NFL Ventures, L.P., NFL Properties LLC, NFL Enterprises LLC, NFL Productions LLC, NFL International LLC and each of their respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees (collectively, the “NFL Entities”) will have no liability or responsibility for any claim arising in connection with participation in this Promotion or any prize awarded.  The NFL Entities have not offered or sponsored this Promotion in any way. © 2007 NFL Properties LLC.
